Which company registration is suitable for your needs?
Limited by Shares Company
A limited by shares company offers 'limited liability', indicating that the owners are accountable for the company's debts solely to the extent of their financial contributions. This structure provides a safeguard in the event of adverse circumstances. A company limited by shares is typically established with the goal of generating profit. A company limited by shares is required to have a minimum of one share and one shareholder.
Limited by Guarantee Company
This company structure is suitable for non-profit and charitable organisations. In contrast to shareholder companies, a company limited by guarantee lacks share capital and does not allocate profits among its members. Members liability is confined to a predetermined sum, usually £1, in the event of the company's financial distress.
Limited Liability Partnerships (LLP)
This is a business entity that merges the adaptability of a conventional partnership with the limited liability characteristic of a limited company. This structure enables businesses to function with limited liability for its members, indicating that they are typically not personally accountable for the business's debts and obligations beyond their financial contributions.
Dormant Companies
A dormant limited company is not engaged in active trading or generating revenue, thereby suspending its business activities. It is fundamentally an incorporated organisation that remains inactive for commercial purposes.
Right to Manage Companies (RTM)
This is a distinct category of limited by guarantee company, used by leaseholder owners of individual residential units seeking to assume control of the entire building's management from the freeholder, commonly referred to as the 'landlord'.

Registered Office Service
You must provide a registered address when you set up a Limited Company. This address must be a physical location situated within the same country (legal jurisdiction) where the company is incorporated. It is listed publicly at Companies House and it is a legal requirement to include your registered office address on your website, letters and invoices. However, it does not have to be the address where your business activities take place. Many people prefer to use a virtual registered office address, especially those who run a business from their home address.
VAT Registration Service
All businesses with a turnover of £90k must register for VAT however, many small businesses register for VAT on a voluntary basis before they meet the £90k threshold. Being VAT registered means you can reclaim VAT on most purchases from other businesses. Small businesses can give the appearance of being bigger and more established.
